1. Can I open a company in China doing different business?

Ans: In China, for foreign enterprises, each company has limited business scopes. Therefore, it is important that you should carefully define your business scope for your China company.

2. How much registered capital should I invest into the China company

Ans: Normally, it depends on the business plan of the China company. The registered capital should be able to cover the intitial development cost of the company before it shall become breakeven. However, for specific industries, there are minimium registered capita require.

3. I need to submit a rental contract for company registration purpose. How could I sign a rental contract?

Ans: You could use the overseas parent company to sign the contract first and convert the rental contract back to the China company when the registration process shall complete.

4. I would like to set-up a trading company in China for both import and export. What is the set-up requirements?

Ans: We recommend that you could consider to open a FICE (foreign invested commercial enterprise) in wholesale business. According the the MOFCOM Policy #8 issued on 2004, foreign enterpise can open WFOE (wholly foreign owned enterprise) with much lower entry barrier. According to our expereince, each FICE can select upto 4-5 different category of products.

5. Our company already set-up a representative office in China, we would like to convert the representative office into an enterprise, what is the procedure?

Ans: There is no direct conversion of a representative office into an enterprise. Your company need to apply an enterprise using the normal set-up procedure. In addition, we recommend that the represenative office should be de-registered.
